These Terms and Conditions shall apply to the use of this site as well as purchase of any services or goods by Buyer from Seller. Notwithstanding any contradictory terms and conditions which may appear on Buyer's forms, the shipment or delivery of the goods or services made the subject of the invoice and the mailing or delivery of this invoice shall not constitute any acceptance by the Seller of any prior written or oral offer by the Buyer which contained terms and conditions different from or additional to those set forth below. Seller's acceptance of any such offer is expressly conditioned on the terms and conditions set forth below. Buyer's acceptance of the goods or services which are the subject of the invoice shall constitute confirmation of Buyer's acceptance of the terms and conditions set forth below.

No agent, employee or representative of the Seller has any authority to bind the Seller to any affirmation, representation or warranty concerning the goods sold under this contract, unless such affirmation, representation or warranty is specifically included within this agreement. No modification or alteration of the disclaimer of warranty and limitation of remedies provisions shall be valid or enforceable unless set forth in a separate document issued and executed by the Seller.

The Terms and Conditions constitute the entire agreement with respect to this website. The Terms and Conditions supersede all prior or contemporaneous communications and proposals, whether electronic, oral or written with respect to this website. No modification of the Terms and Conditions shall be effective unless it is authorized by our company. If any provision of the Terms and Conditions is found to be contrary to law, then such provision shall be deemed to be deleted and such provision shall be constructed in a manner to closely reflect, as much as possible, the intentions of the parties, with the other provisions remaining in full force and effect.

Notices from you to our company shall be made either by e-mail to the address provided on this website, sent via this website's Contact Us link, or delivery confirmation service postal mail to our address as listed in these terms. Delivery shall be deemed to have been made ten (10) days after the confirmed delivery date.

Although the information on this website is accessible worldwide, not all products or services discussed in this website are available to all persons or all geographic locations or jurisdictions. Our company and associated entities reserve the right to limit the provision of products or services to any person, geographic area, or jurisdiction and to limit the quantities of any products or services provided. Buyers may purchase merchandise from this website by using any of the payment options listed during checkout. Seller reserves the right to change payment procedures at any time without prior notice. Unless otherwise indicated, payment is due upon receipt of order. If Seller commences an action to collect amounts due on an account, Buyer will indemnify and hold Seller harmless from all expenses incurred in connection therewith, including attorney's fees.

Title to the goods sold hereunder shall remain with Seller until payment in full by the Buyer. The risk of loss and title for all merchandise purchased on this website pass to the Buyer when the merchandise is delivered by the shipping carrier.

Seller shall not be responsible for delays in performance caused by delays at manufacturing plants, or in transportation or due to strikes, fires, floods, storms, natural or human-caused disasters, war, insurrections, riots, any governmental regulation, order, act or instruction, or any other circumstances beyond the Seller's reasonable control.

Regarding limitation of actions, Buyer agrees that any action of any kind by the Buyer against the Seller must be commenced, if at all, within one (1) year after the date of purchase. 

In the event of litigation both parties agree that the Law of the State of business registration shall apply and both parties shall consent to the jurisdiction of said State's courts, or in the event of diversity of citizenship, the applicable United States District Court. Both parties expressly waive a trial by jury.

Seller may allow you to register and create an account to access certain content or to purchase products or services. If you register, create an account, or otherwise sign up for an optional subscription or service, you agree to provide and maintain accurate information about yourself. Failure to provide accurate and complete information or to update such information shall be grounds for Seller to suspend or terminate your account. You are responsible for maintaining the confidentiality of your login and password information and for any activities that occur through your account.
